1. Use of our Images
SnappyStock licenses to you the use of our image files as provided below on a nonexclusive and nontransferable basis after payment of all the required fees. All other rights to the image files and any accompanying materials such as copyright are retained by SnappyStock.

2. User Consent
You must be at least 18 years of age to use the Website and to accept this Agreement. SnappyStock may require any registered user to provide adequate proof that they are at least 18 years of age. Those under 18 years of age can access the Website only by having their parent or legal guardian register on their behalf. By opening an account in this manner, the parent or legal guardian authorizes the minor to use and agrees to be bound personally by the terms and conditions of this agreement.

3. Intellectual Property and Privacy Laws
You agree that the content contained on the Website is the sole property of SnappyStock and is protected by copyright and any other applicable intellectual property laws. In addition, you agree that trademarks and copyrights of the subject matter displayed in the images are subject to protection by intellectual property laws and that you must obtain the consent from the owners of the intellectual property, if necessary, to conform with intellectual property laws. Unless there is an explicit written statement from SnappyStock stating otherwise, you should assume that no agreement from persons or owners of property shown in an image has been given regarding publication and that model and property releases are not available from SnappyStock.

4. Prohibited Uses
You may NOT:

A. Use images in any way that depicts a person in the photo in a bad light or in a way that they may find offensive, including defamation, intrusion on privacy, misappropriation of likeness.
B. Use images in any way that violates civil or criminal laws such as those which regulate pornography, obscenity, fraud, counterfeiting, espionage, and aid to illegal activities.
C. Post any image downloaded from the Website in a format that would facilitate transfers of files via the Internet by other users, all rights are non-transferable.
D. Resell or distribute any image downloaded from the Website or its depiction unless the image is an integral part of the product being resold, and includes less than 50 percent of the entire product's importance or value.
E. Remove any copyright or trademark information from any place in the files or accompanying materials.
F. Post or otherwise display images downloaded from the Website on a website in a size larger than 500 pixels in length or width.
G. Use any Image as part of a trademark, logo, or patented image.
H. Share your username and password, or otherwise sell, rent, give, sublicense, or transfer to anyone the images or the right to use the images.

5. Acceptable Uses
You MAY:

A. Use the images on the Website in any way not prohibited by the agreement (see Section 4) . Uses deemed acceptable include but are not limited to electronic media, consumer merchandise, print media, websites, website templates, multimedia presentations, and broadcast film and video, clothing, books, and packaging.
B. Change or modify images as necessary for your use, granted the resulting image does not violate the terms set forth in this agreement (see Section 4) and provided that the rights to any derivative work shall belong to SnappyStock. which assignment the parties hereby agree is valid under the copyright laws of the United States and other countries.

6. Other Provisions
You agree that SnappyStock may, in its own discretion, (a) monitor anything you download from the SnappyStock Website at any time, for any violation of this Agreement, (b) limit monthly subscription downloads to 30 downloads per 24 hour period, per user (c) track any abuse or sharing violation of your username and password in connection with the SnappyStock website or in connection with this Agreement, (d) terminate your account, without notice, if it finds any violation of this Agreement and/or any abuse of your username and password. If your account is terminated for any violation of this Agreement and/or any abuse of a username or password, you lose all rights to SnappyStock Content, must immediately delete all Content acquired from SnappyStock, and forfeit all fees paid to that point.

7. Assumption of Risk
You expressly agree that use of all images, files, or software distributed by SnappyStock is at your own risk. SnappyStock does not warrant or guarantee that files or images on the Website are free from copyright or other intellectual property concerns.

8. Severability
If any clause of this agreement is found to be unenforceable, it will not affect any other clause. All remaining clauses will remain in full force and effect.

9. Indemnity
You agree to fully defend and indemnify SnappyStock, Inc., its employees, directors, and officers, and any others associated with SnappyStock, Inc., and each of their successors, licensees, and assigns free and harmless from any and all claims, liabilities, costs, losses, damages, or expenses, including attorneys' fees and expenses, arising in connection with your use of the content and this Website or of any breach or alleged breach of any representation, warranty, or other promise made by you in this agreement.

10. Legal Fees and Jurisdiction
If SnappyStock is obligated to go to court, other than arbitration, to enforce any of its rights or provisions, or to collect any payment, you agree to fully reimburse SnappyStock for its legal fees, costs and disbursements if SnappyStock is successful. The parties consent to jurisdiction over them in any state or federal court in California, waive any claim or defense that such forum is not convenient, and consent to service of process by any means authorized by California law.

11. Summary
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND SNAPPYSTOCK, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION BETWEEN YOU AND SNAPPYSTOCK RELATING TO THE SUBJECT OF THIS AGREEMENT. You agree that by using this site or images, photos or files from this site, that you are bound by this Agreement. This Agreement evidences the complete understanding of the parties (any user of this website or files obtained from this website, and SnappyStock, Inc.) with respect to the subject matter hereof and may not be amended, modified or waived in whole or in part except in a writing signed by the parties.
